Terms of Service

Applies to: All services provided by Mainframe Solutions and BuildFit AI™.

1. Scope of Services

Mainframe Solutions provides advisory-led executive search, workforce strategy, AI-assisted evaluation systems, hiring governance design, and workflow architecture.

BuildFit AI™ provides AI-assisted candidate evaluation tools to support structured hiring decisions.

Services are governed by individual client agreements, statements of work, or placement contracts.

2. No Employment Guarantee

We do not guarantee:

  • Candidate performance
  • Hiring outcomes
  • Business results
  • Revenue outcomes

Our services provide structured support and decision clarity. Final decisions remain the client’s responsibility.

3. AI Use & Limitations

BuildFit AI™:

  • Provides structured evaluation insights
  • Does not replace human judgment
  • Does not autonomously hire or reject candidates
  • Should not be used as the sole decision factor

Clients agree to use AI-assisted outputs responsibly and with human oversight.

4. Intellectual Property

All proprietary systems, frameworks, and methodologies developed by Mainframe Solutions and BuildFit AI™ remain our intellectual property unless otherwise agreed in writing.

Clients retain ownership of their internal data and hiring decisions.

5. Payment Terms

Payment terms are governed by executed contracts or invoices.

Failure to remit payment may result in suspension of services.

6. Limitation of Liability

To the fullest extent permitted by law:

Mainframe Solutions and BuildFit AI™ are not liable for:

  • Indirect damages
  • Lost profits
  • Business interruption
  • Hiring outcomes
  • Regulatory penalties resulting from client misuse

Total liability is limited to fees paid for services rendered within the preceding engagement period.

7. Confidentiality

Both parties agree to maintain confidentiality of non-public business information exchanged during engagements.

8. Compliance

Clients remain responsible for compliance with:

  • Employment laws
  • Anti-discrimination regulations
  • AI regulatory requirements applicable to their jurisdiction

We provide governance support but do not provide legal advice unless separately contracted.

9. Dispute Resolution

Disputes shall be resolved through good-faith negotiation. If unresolved, disputes may be subject to arbitration or jurisdiction defined in the governing contract.

10. Updates

These Terms may be updated periodically. Continued use of services constitutes acceptance of revised terms.
